These Terms of Service ("Terms") govern your access to and use of the GuestPass platform and services provided by GUEST PASS LTD ("GuestPass", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using GuestPass services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services.

If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

GuestPass provides an enterprise event management platform that includes:

  • Registration Management: Custom branded registration websites and forms
  • E-Ticketing: Digital tickets with QR codes and access control
  • Guest Management: Guest dashboards, document distribution, and communications
  • Check-in Solutions: Mobile check-in apps with QR code scanning
  • Smart Wristbands: RFID/NFC wristband integration for access and activations
  • Notifications: Email and push notification services for guests
  • Custom Activations: Interactive experiences, games, and branded utilities
  • Admin Console: Event organizer dashboard and management tools

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice.

3. User Accounts

3.1 Account Types

  • Event Organizers: Create and manage events, registration forms, and guest data
  • Guests: Register for events, access tickets, and use guest portal features

3.2 Account Registration

To use certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security and confidentiality of your password
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities under your account

3.3 Account Eligibility

You must be at least 18 years old to create an Event Organizer account. Guest accounts may be created for minors by event organizers with appropriate parental consent.

4. Acceptable Use Policy

You agree not to use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in fraudulent, deceptive, or misleading activities
  • Distribute spam, viruses, malware, or harmful code
  • Harass, abuse, threaten, or discriminate against others
  • Interfere with or disrupt our services or servers
  • Attempt to gain unauthorized access to systems or accounts
  • Scrape, data mine, or harvest information without permission
  • Impersonate others or misrepresent your affiliation
  • Collect personal information of others without consent
  • Use the platform for illegal events or activities
  • Reverse engineer, decompile, or attempt to extract source code
  • Remove or modify any proprietary notices or labels

We reserve the right to investigate and take appropriate action against anyone who violates this policy, including suspending or terminating accounts without notice.

5. Event Organizer Responsibilities

As an Event Organizer, you are responsible for:

  • Event Content: All event information, descriptions, terms, and conditions
  • Guest Data: Acting as data controller for guest personal information
  • Legal Compliance: Complying with all applicable laws (licensing, permits, safety, etc.)
  • Accurate Information: Providing truthful event details and pricing
  • Event Delivery: Hosting the event as described or providing refunds as appropriate
  • Guest Communications: Timely notifications of changes, cancellations, or issues
  • Data Protection: Complying with GDPR, CCPA, and other privacy laws
  • Payment Processing: Honoring refund and cancellation policies
  • Content Rights: Ensuring you have rights to all uploaded content (images, branding, etc.)

Event Organizers indemnify GuestPass against any claims arising from their events, content, or treatment of guest data.

6. Payment Terms

6.1 Fees and Pricing

GuestPass charges fees for use of our platform. Pricing is provided separately and may vary based on features, event size, and service level. Fees are exclusive of applicable taxes, which you are responsible for paying.

6.2 Payment Processing

Payments are processed through secure third-party payment processors. By providing payment information, you authorize us to charge your payment method for applicable fees.

6.3 Ticket Sales and Guest Payments

For ticket sales and registration payments, Event Organizers set pricing and payment terms. GuestPass may facilitate payment processing but is not a party to the transaction between Event Organizers and Guests.

6.4 Refunds and Cancellations

Platform Fees: Refunds for GuestPass platform fees are evaluated on a case-by-case basis considering factors such as timing, usage, and circumstances.

Ticket Refunds: Refund policies for event tickets are set by Event Organizers. GuestPass is not responsible for issuing refunds for tickets or registrations, though we may facilitate refund processing on behalf of Event Organizers.

6.5 Late Payments and Suspension

Accounts with overdue payments may be suspended. We reserve the right to charge interest on late payments and recover collection costs.

7. Intellectual Property Rights

7.1 GuestPass Intellectual Property

The GuestPass platform, including all software, designs, text, graphics, logos, and trademarks, is owned by or licensed to GuestPass and protected by intellectual property laws. You may not use our intellectual property without prior written permission.

7.2 User Content

You retain ownership of content you upload or create using our services. By uploading content, you grant GuestPass a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely to provide and improve our services.

7.3 Feedback

Any feedback, suggestions, or ideas you provide to us become our property and may be used without compensation or obligation to you.

8. Third-Party Services and Links

Our platform may integrate with or link to third-party services (payment processors, email providers, analytics services, etc.). We are not responsible for third-party services, their terms, or their practices. Your use of third-party services is subject to their own terms and policies.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free, or secure access to our services.

9.2 No Warranties

We disclaim all warranties, including but not limited to:

  • Warranties of merchantability and fitness for a particular purpose
  • Warranties regarding accuracy, reliability, or completeness of content
  • Warranties that our services will meet your requirements
  • Warranties that defects will be corrected

9.3 Limitation of Liability

To the maximum extent permitted by law, GuestPass and its affiliates, directors, employees, and agents shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or unavailability
  • Actions or content of Event Organizers or guests
  • Events, activities, or incidents at organized events
  • Unauthorized access to or alteration of your data

Our total liability for any claims shall not exceed the amounts paid by you to GuestPass in the 12 months preceding the claim, or £100, whichever is greater.

9.4 Event Organizer Liability

GuestPass is not responsible for events hosted by Event Organizers, including event cancellations, quality, safety, or legality. Disputes regarding events are between Event Organizers and guests.

10. Indemnification

You agree to indemnify, defend, and hold harmless GuestPass, its affiliates, and their respective directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any rights of others
  • Your content or events (for Event Organizers)
  • Your treatment of guest data (for Event Organizers)
  • Any negligence or misconduct by you or your representatives

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us. You remain liable for any fees incurred prior to termination.

11.2 Termination by GuestPass

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our policies
  • Engage in fraudulent or illegal activities
  • Fail to pay fees when due
  • Harm our reputation or services
  • Request termination

11.3 Effect of Termination

Upon termination, your right to use our services ceases immediately. We may delete your account data, though some information may be retained as required by law or legitimate business purposes. Provisions regarding payment, indemnification, disclaimers, and limitations of liability survive termination.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us to attempt to resolve disputes informally. Many disputes can be resolved quickly and amicably through direct communication.

12.2 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

12.3 Jurisdiction

Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws require otherwise.

12.4 Class Action Waiver

To the extent permitted by law, you agree to bring claims only in your individual capacity and not as part of any class, consolidated, or representative action.

13. General Provisions

13.1 Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or prominent notice on our platform. Your continued use after changes constitutes acceptance of the modified Terms.

13.2 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and GuestPass regarding our services.

13.3 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

13.4 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

13.5 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

13.6 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, pandemics, wars, strikes, or infrastructure failures.
